Terms and Conditions for Folicx

1. Agreement to terms

These Terms and Conditions ("Terms") govern your access to and use of the Folicx mobile application and related websites and services (collectively, the "Services") provided by Folicx ("Folicx", "we", "us" or "our").

By downloading, installing, accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

By using the Services, you represent and warrant that:

  • You are at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
  • You have the legal capacity to enter into a binding contract.
  • You are not prohibited from using the Services under applicable law.

If you use the Services on behalf of another person or entity, you represent that you are authorized to do so and that person or entity accepts these Terms.

3. Accounts and registration

To use certain features of the Services, you may need to create an account. When you create an account, you agree to:

  • Provide accurate, current and complete information.
  • Keep your login credentials secure and not share them with others.
  • Notify us promptly of any unauthorized use of your account or security breach.

You are responsible for all activities that occur under your account, whether or not you authorized them.

4. License to use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install one copy of the App on a mobile device you own or control; and
  • Access and use the Services solely for your personal, non-commercial use.

You may not:

  • Copy, modify, distribute, sell, lease, rent, sublicense, or otherwise exploit the Services or any part of them.
  • Reverse engineer, decompile or attempt to extract the source code, except where permitted by law.
  • Remove, obscure or alter any proprietary notices or trademarks.

5. User content

5.1 Definition

"User Content" means any content you upload, submit, store, transmit or otherwise make available through the Services, including:

  • Hair and scalp photos or videos.
  • Hair routine logs, notes and goals.
  • Comments, feedback, messages and other text.

You retain ownership of your User Content.

5.2 License you grant to us

By providing User Content, you grant Folicx a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to:

  • Host, store, process, analyze, adapt, display and otherwise use your User Content as necessary to operate, improve and provide the Services.
  • Generate aggregated, anonymized or de-identified data from your use and your User Content, which we may use for analytics, research, product development and other lawful purposes.

We will not publicly display personally identifiable hair photos or similar content without your explicit action or consent (for example, if we introduce a feature that lets you share progress publicly and you choose to use it).

5.3 Your responsibilities

You are solely responsible for your User Content and for ensuring that:

  • You have all necessary rights to submit the User Content and grant the license above.
  • Your User Content does not violate any law or the rights of any third party (including privacy, publicity and intellectual property rights).
  • Your User Content does not contain harmful, abusive, defamatory, obscene, hateful, or otherwise objectionable material.

We are not obligated to monitor User Content but reserve the right to remove or disable access to any User Content we consider to violate these Terms or applicable law.

6. Prohibited conduct

When using the Services, you agree not to:

  • Use the Services in any unlawful way or for any unlawful purpose.
  • Upload or transmit viruses, malware or other harmful code.
  • Attempt to gain unauthorized access to any systems or networks connected to the Services.
  • Interfere with or disrupt the integrity, security or performance of the Services.
  • Use any automated means (bots, scrapers, spiders) to access the Services except as explicitly allowed.
  • Use the Services for harassment, abuse, or harm to others.

We may restrict, suspend or terminate your access if we reasonably believe you are engaging in prohibited conduct.

7. Health and medical disclaimer

Folicx is designed to help you track and visualize your hair over time and support your personal hair-care decisions. It is not a medical or diagnostic tool and does not provide professional medical advice, diagnosis or treatment.

  • The information and insights provided by the Services are for general informational and self-tracking purposes only.
  • Folicx does not replace consultation with a qualified dermatologist, trichologist, or other healthcare professional.
  • Always seek the advice of a qualified professional with any questions you may have regarding your hair or scalp health, and never disregard professional advice because of something you have seen in Folicx.

If you experience sudden or severe hair loss, scalp pain, bleeding, infection, or any other concerning symptoms, you should contact a healthcare professional promptly.

8. Subscriptions, in-app purchases and billing

If Folicx offers paid subscriptions or in-app purchases:

  • Pricing, features and billing periods will be described in the App or relevant store listing.
  • Purchases through app stores (e.g., Apple App Store, Google Play) are handled by those stores and are subject to their terms and policies; any billing issues should generally be addressed with them.
  • Unless otherwise stated, subscriptions will automatically renew at the end of each billing period, and your payment method will be charged unless you cancel before renewal.

You can manage or cancel your subscription via your app store account settings. Refund eligibility (if any) will be determined according to the applicable store's policies and any mandatory legal rights in your jurisdiction.

9. Intellectual property

The Services and all associated content, including but not limited to software, text, graphics, logos, icons, images (excluding your User Content), audio, video, and all related intellectual property rights, are owned by Folicx or its licensors.

Except for the limited license granted in Section 4, nothing in these Terms transfers any rights, title or interest in or to the Services to you. All rights not expressly granted are reserved.

10. Feedback

If you provide suggestions, ideas or feedback about the Services ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, perpetual and irrevocable license to use, copy, modify and otherwise exploit the Feedback for any purpose, without any obligation to compensate you.

11. Third-party services and links

The Services may contain links to third-party websites, apps or services, or may integrate with third-party tools. We do not control and are not responsible for those third parties, their content or their practices. Your use of third-party services is subject to their terms and policies, not ours.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use and protect your personal data. By using the Services, you acknowledge that you have read and understood the Privacy Policy and agree to its terms.

13. Disclaimers

To the maximum extent permitted by law:

  • The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied or statutory.
  • We specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
  • We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

You use the Services at your own risk.

14. Limitation of liability

To the maximum extent permitted by law:

  • Folicx and its affiliates, officers, employees, agents, partners and licensors will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, data or goodwill, arising out of or in connection with your use of (or inability to use) the Services.
  • Our total aggregate liability for all claims relating to the Services will not exceed the amount you have paid to us (if any) for the Services during the twelve (12) months prior to the event giving rise to the claim, or, if you have not paid any such amount, an amount equivalent to INR 5,000.

Some jurisdictions do not allow limitations on certain damages or implied warranties, so some of the above exclusions or limitations may not apply to you. In those cases, our liability will be limited to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend and hold harmless Folicx and its affiliates, officers, employees, agents and partners from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your User Content.
  • Your breach of these Terms or violation of any law or third-party right.

16. Termination

We may suspend or terminate your access to the Services, or any portion thereof, at any time:

  • If you violate these Terms or applicable law.
  • If we reasonably believe your use may cause harm to us, other users or third parties.
  • If we decide to discontinue the Services (in whole or in part).

You may stop using the Services at any time and, if applicable, delete your account via the App or by contacting us.

Upon termination, the license granted to you under these Terms will end, but sections that by their nature should survive (such as intellectual property, disclaimers, limitations of liability and indemnification) will continue to apply.

17. Changes to the Services and Terms

We may modify or discontinue all or part of the Services at any time, with or without notice, subject to applicable law.

We may also update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice (for example, in-app or by email).

By continuing to use the Services after the updated Terms become effective, you agree to be bound by them. If you do not agree to the updated Terms, you must stop using the Services.

18. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

You agree that the courts located in New Delhi, India will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services, subject to any mandatory legal protections that apply in your jurisdiction.

19. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Folicx regarding the Services and supersede any prior understandings or agreements.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
